Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Asta Funding, Inc. (the "Company"), a consumer receivable asset management and liquidation firm, today announced that Cameron Williams, Chief Operating Officer for the past two years, will leave the Company following a transition period.

"Given the broader market environment and the emerging opportunities in consumer receivables management, the needs of our company are evolving," said Gary Stern, Chief Executive Officer. "Bill has been a valued member of our executive team. We are grateful for his contributions and wish him well."

Mr. Williams' contract expires December 31, 2009.
