Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On October 1, 2009, the Compensation Committee of the Board of Directors of
Coldwater Creek Inc. approved the compensation of Chairman, President and Chief
Executive Officer, Dennis Pence. At Mr. Pence's request, he will receive a
salary of $1 per year plus standard employee benefits. Additionally, Mr. Pence
has requested that he not participate in any of the company's performance
incentive plans and that he not receive any equity awards in connection with his
service.
