(a) On September 30, 2009, the Registrant issued the attached press release announcing the resignation of its director, Richard Ravitch, effective September 24, 2009, due to the confirmation of his appointment as the Lieutenant Governor of the State of New York, which confirmation occurred on September 22, 2009. At the time of his resignation, Lieutenant Governor Ravitch had not been serving on any committees of the board of directors of the Registrant.
