   On September 25, 2009, Finisar Corporation (the "Company") filed a
Certificate of Amendment of the Restated Certificate of Incorporation of the
Company with the Secretary of State of the State of Delaware to effect the
previously announced 1-for-8 reverse stock split of its common stock. The
reverse stock split was effective at 4:30 p.m. Eastern Daylight Time on
September 25, 2009. Trading in the post-split shares will commence on
September 28, 2009. A copy of the Certificate of Amendment is attached hereto as
Exhibit 3.8 and is incorporated herein by reference.
