ITEM 5.05 AMENDMENTS TO THE REGISTRANT'S CODE OF ETHICS, OR WAIVER OF A PROVISION OF THE CODE OF ETHICS
On September 23, 2009, the Boards of Directors of WGL Holdings, Inc. and Washington Gas Light Company amended their Code of Conduct. The amendment revises the provisions of the "Insider Trading" section of the Code of Conduct regarding the "window periods" for stock trading by directors, officers and others having material inside information.
