Rahaxi, Inc. (the "Company") filed an amendment to its Articles of Incorporation with the Secretary of State of Nevada to increase the Company's authorized Common Stock to one billion (1,000,000,000) shares and increase the Company's authorized Preferred Stock to ten million (10,000,000) shares. The amendment was approved by holders of a majority of the outstanding shares of the Company through a Proxy Statement (written consent solicitation) that was previously mailed to stockholders on August 10, 2009 and filed with the Securities and Exchange Commission.

The amendment to the Company's Articles of Incorporation was filed with the Secretary of State of Nevada on September 21, 2009 and became effective upon filing.
