Item 8.01 Other Events.
At the Annual Meeting of Stockholders of OmniVision Technologies, Inc. ("the
"Company"), the stockholders of the Company approved the Stock Option Exchange
Program for its employees and voted against the Stock Option Exchange Program
for its named executive officers.
The directors identified in the proxy statement for the Annual Meeting of
Stockholders were elected for another term and the other proposals on the agenda
relating to the ratification of PricewaterhouseCoopers LLP and the approval of
the 2009 Employee Stock Purchase Plan were passed.
