Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
In a letter to the chairman of our Board of Directors dated September 18, 2009,
Archibald Cox, Jr. notified us of his intention to resign his position as a
director of the company, effective immediately. Mr. Cox's resignation reflects
his decision to focus his time on his duties as Chairman of the Americas of
Barclays Capital, a position to which he was appointed in 2008. Mr. Cox's
resignation was not because of any disagreement with the company.
