The Registrant announced that effective September 16, 2009, Mr. Terry Thompson, the President of Sussex Bank, a New Jersey state chartered commercial bank and wholly owned subsidiary of the Registrant, has departed from his employment with the Registrant and the Bank. The Registrant will make certain severance payments to Mr. Thompson in accordance with his employment agreement.

Mr. Donald Kovach, the Chairman and CEO of the Registrant and the CEO of Sussex Bank, will assume the position of President of Sussex Bank on an interim basis. The Board of Directors of the Registrant has formed a search committee to identify candidates to replace Mr. Thompson.
