Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 19, 2009, Michael D. White, Vice Chairman and Director of PepsiCo,
Inc. (the "Company") and Chief Executive Officer of PepsiCo International,
notified the Company of his decision to retire from the Company later this year.
Mr. White will step down from his seat on the Company's Board of Directors upon
his retirement.
