At the annual meeting of shareholders held on September 18, 2009, the shareholders of Casey's General Stores, Inc. (the "Company") voted to approve the adoption of the Casey's General Stores, Inc. 2009 Stock Incentive Plan ("Plan"). A description of the Plan was included in the proxy statement for the annual meeting, which was filed by the Company with the Securities and Exchange Commission on August 10, 2009. The description of the Plan set forth in said proxy statement is incorporated herein by this reference and made a part hereof.
