ITEM 5.03. AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL
YEAR.
On September 18, 2009, on the recommendation of the Audit Committee, the
Board of Directors of The TJX Companies, Inc. amended TJX's bylaws to provide
that TJX's fiscal year will terminate on the Saturday nearest to the last day of
January of each year, unless otherwise provided by the Board of Directors. Prior
to the change, the fiscal year terminated on the last Saturday of January of
each year, unless otherwise provided by the Board.
The Company's bylaws as amended are attached as Exhibit 3.1.
