Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The following disclosure is provided pursuant to subsection (b) of Item 5.02 of Form 8-K.
On September 16, 2009, Raymond V. Dittamore informed Gen-Probe Incorporated (the "Company") that he was resigning from the Company's board of directors (the "Board") effective as of September 17, 2009. Mr. Dittamore has served as a member of the Board since August 2002.
Item 8.01. Other Events.

On September 17, 2009, the Board appointed John C. Martin, Ph.D. to serve as a member of the Audit Committee of the Board. Dr. Martin was appointed to the Audit Committee to fill the vacancy created on that committee by Mr. Dittamore's resignation from the Board. Dr. Martin has served as a member of the Company's Board since September 2007. Dr. Martin currently serves as the Chairman and Chief Executive Officer of Gilead Sciences, Inc.
