On September 1, 2009 Waste Services, Inc. entered into the First Amendment to
its Credit Agreement and the First Amendment to its Guarantee and US Collateral
Agreement.
A copy of the amendment is attached as Exhibit 20.1 to this Form 8-K.

On September 16, 2009 Waste Services, Inc. issued a press release pursuant to
Rule 135c of the Securities Act of 1933 announcing its intention to offer in a
private placement an additional $50 million aggregate principal amount of its
91/2% Senior Subordinated Notes due 2014. The press release is attached hereto
as Exhibit 99.1 and is hereby incorporated by reference in this Item 8.01 of
