Item 8.01 Other Events.

On September 16, 2009, Secure America Acquisition Corporation (the "Company") issued a joint press release with Ultimate Escapes Holdings, LLC ("Ultimate Escapes"), a copy of which is attached as Exhibit 99.1, announcing that Ultimate Escapes has consummated the acquisition of certain assets from Private Escapes Holdings, LLC, which is one of the conditions to the closing of the Company's proposed business combination with Ultimate Escapes.
