Item 8.01 Other Events

On September 14, 2009, each of Varian, Inc. and Agilent Technologies, Inc. received a request for additional information (a "second request") from the U.S. Federal Trade Commission (the "FTC") in connection with the FTC's review of Agilent's pending acquisition of Varian. This second request extends the waiting period imposed by the Hart-Scott-Rodino Antitrust Improvements Act of 1976 until 30 days after Agilent and Varian have substantially complied with the second request unless that period is extended voluntarily by the parties or terminated sooner by the FTC. Varian intends to respond fully to the second request.
