Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 15, 2009, Marijn E. Dekkers, the President and Chief Executive Officer and a director of Thermo Fisher Scientific Inc. (the "Company"), resigned as President and Chief Executive Officer and from the Board of Directors of the Company, effective October 15, 2009.
On September 14, 2009, the Board of Directors of the Company appointed Marc N. Casper, 41, President, Chief Executive Officer and a director of the Company, effective October 15, 2009. Mr. Casper is expected to be appointed to the Strategy Review and Employee Equity Committees of the Board. Mr. Casper has served as the Company's Executive Vice President and Chief Operating Officer since May 2008. Prior to being named Chief Operating Officer, he was Senior Vice President from December 2003 to November 2006. He was President, Life and Laboratory Sciences from December 2001 to March 2005.
