(d) As previously announced, effective September 14, 2009, William C. Kunkler
was elected to the Registrant's Board of Directors. Mr. Kunkler will hold office
until the 2010 annual meeting of the Registrant's stockholders, or until his
successor is duly elected and qualified. Mr. Kunkler will serve on the Audit
Committee and the Nominating and Corporate Governance Committee of the Board of
Directors.
Mr. Kunkler is currently Executive Vice President-Operations of CC Industries,
Inc., an affiliate of Henry Crown and Company, and has served in that position,
as well as other officer positions, since 1994. CC Industries, Inc. is a private
equity firm focused on manufacturing companies and real estate investments.
