Item 8.01. Other Events

NightHawk Radiology Holdings, Inc. (the "Company") notified the holders of its term loan that it will make a voluntary principal repayment in the amount of $12 million on September 17, 2009, reducing the outstanding loan balance to approximately $82 million. The Company believes that the voluntary payment is a prudent use of its cash given its history of strong free cash flow generation and current level of available cash and investments. The Company will continue to evaluate opportunities to make additional debt repayments from time to time.
