Item 8.01. Other Events.

On September 14, 2009, each of Agilent Technologies, Inc. and Varian, Inc. received a request for additional information (a "second request") from the U.S. Federal Trade Commission (the "FTC") in connection with the FTC's review of Agilent's pending acquisition of Varian. This second request extends the waiting period imposed by the Hart-Scott-Rodino Antitrust Improvements Act of 1976 until 30 days after Agilent and Varian have substantially complied with the second request unless that period is extended voluntarily by the parties or terminated sooner by the FTC. Agilent intends to respond promptly to the second request.
