Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 8, 2009, the Compensation Committee (the "Compensation Committee")
of the Board of Directors of Helicos Biosciences Corporation (the "Company")
amended the Company's Management Incentive Bonus Plan to provide that the
Compensation Committee may elect to pay a bonus award to which a participant is
entitled in cash or in unrestricted shares of the Company's common stock, $.001
par value.
