On September 2, 2009, The Bank of Kentucky Financial Corporation issued a press release announcing that its wholly-owned bank subsidiary, The Bank of Kentucky, Inc., has agreed to purchase certain Northern Kentucky branches, commercial loans and certain other assets from Integra Bank N.A., the wholly-owned bank subsidiary of Integra Bank Corporation. A copy of the Press Release is being furnished as Exhibit 99.1 to this Report and is incorporated into this Report by reference.
