Item 8.01. Other Events.

On September 2, 2009 Orchids Paper Products Company (the "Registrant") issued a press release announcing that it closed the sale of an additional 112,500 shares of its common stock at the public offering price of $18.50 per share. These shares were issued pursuant to the over-allotment option granted to Stephens Inc. as underwriter in conjunction with the Registrant's previously announced offering of 750,000 shares of common stock completed on August 26, 2009.

A copy of that press release is attached hereto as Exhibit 99.1.
