Resignation of Named Executive Officer
Richard L. Stanley, President of ATC Technology Corporation's Drivetrain
business segment and one of our "named executive officers," is resigning
effective September 4, 2009 to pursue another opportunity. Todd R. Peters, ATC's
President and CEO, will assume Mr. Stanley's duties at Drivetrain pending
completion of our previously announced Drivetrain restructuring activities.
