Item 8.01. Other Events.

On August 26, 2009 Orchids Paper Products Company (the "Registrant") issued a press release announcing that it closed an offering of 750,000 shares of its common stock at a public offering price of $18.50 per share. The Registrant received net proceeds of approximately $12.8 million from the offering, after deducting the underwriting discount and estimated offering expenses.

A copy of that press release is attached hereto as Exhibit 99.1.
