Item 8.01. Other Events.

On August 26, 2009, Kohl's Corporation (the "Company") Board of Directors announced that Kevin Mansell has been named Chairman of the Board effective September 1, 2009. Mr. Mansell will also continue to serve as President and Chief Executive Officer. With Mr. Mansell's appointment, Larry Montgomery will retire from his position as Chairman of the Board effective September 1, 2009, but will continue to be employed by the Company and serve on the Board of Directors until January 30, 2010. Mr. Montgomery has agreed to provide additional transition assistance following retirement.
