On August 25, 2009, the registrant announced the resignation of Mr. James A. Haslam, III from its Board of Directors, effective August 24, 2009. Mr. Haslam's resignation was not due to any disagreement with the registrant. J.C. Watts, Jr. was elected to the Board of Directors on August 25, 2009.
