On August 20, 2009, Mayflower Bancorp, Inc. (the "Company") issued a press release announcing its unaudited financial results for the fiscal quarter ended July 31, 2009. ITEM 8.01 OTHER EVENTS

On August 20, 2009, the Board of Directors of the Company declared a cash dividend on the Company's outstanding shares of stock. The dividend of $0.06 per share will be paid on or about September 8, 2009 to stockholders of record on September 1, 2009.
