On August 18, 2009, Gregory M. Denkler, an Executive Vice President of Stanley, Inc. (the "Company"), adopted a pre-arranged individual stock trading plan intended to comply with Rule 10b5-1 of the Securities and Exchange Act of 1934, as amended (the "10b5-1 Plan"). Pursuant to the 10b5-1 Plan, up to 48,000 shares will be sold during the period beginning on April 9, 2010 and ending on December 31, 2010.
The 10b5-1 Plan was established by Mr. Denkler in a trading window during which employees and directors may trade in Company securities. Except as may be required by law, the Company does not undertake to report written trading plans established by Company employees, officers or directors, nor to report modifications, terminations, transactions or other activities under the 10b5-1 Plan or similar plans of any other employee, officer or director.
