Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 17, 2009, Stoneridge, Inc. (the "Company") announced the resignation of Martin Malmvik as European Managing Director of Stoneridge Electronics. Under the terms of his employment contract, Mr. Malmvik will remain employed with the Company until December 26, 2009 unless the Company and Mr. Malmvik mutually agree upon an earlier termination date. The Company has appointed an Interim Managing Director and is engaged in a search to find a new European Managing Director.
