On August 19, 2009, Umpqua Holdings Corporation announced the completion of a previously announced public offering by issuing 26,538,461 shares of common stock, including 3,461,538 shares pursuant to the underwriters' over-allotment option, at a price of $9.75 per share. The net proceeds to Umpqua after deducting underwriting discounts and commissions and estimated offering expenses are expected to be approximately $245.6 million. A copy of the press release announcing the completion of the offering is attached as Exhibit 99.1 .
