Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On August 13, 2009, the Board of Directors of Brightpoint, Inc. (the
"Company") appointed Cynthia L. Lucchese to serve on the Company's Board of
Directors as a Class I Director. Ms. Lucchese will also serve as a member of the
Company's Audit Committee.
Ms. Lucchese was elected Senior Vice President and Chief Financial Officer of
Hillenbrand effective February, 2008. From 2005 to 2007, she served as Senior
Vice President and Chief Financial Officer for Thoratec Corporation. Prior to
that, she worked 10 years for Guidant Corporation, now a part of Boston
Scientific Corporation, in a variety of senior finance roles, including Vice
President and Treasurer, Corporate Controller and Chief Accounting Officer, and
Vice President of Finance and Administration of the Guidant Sales Corporation.
Ms. Lucchese was also previously employed by Eli Lilly and Company and Ernst &
Young LLP.
There are no arrangements or understandings between Ms. Lucchese and any
other person pursuant to which she was appointed as a director of the Company
and Ms. Lucchese is not party to any transactions with the Company that require
disclosure pursuant to Item 404(a) of Regulation S-K. As an independent director
of the Company, Ms. Lucchese will receive an annual cash retainer of $120,000.
