Item 8.01. Other Events.

AMCORE Financial, Inc.'s (the "Company") wholly-owned subsidiary, AMCORE Bank, N.A., today announced that it has reached a definitive agreement with Union Bank and Trust Company of Evansville, Wisconsin, to sell two branches located in the Wisconsin communities of New Glarus and Belleville. The transaction includes approximately $21 million in loans and $36 million in deposits and sweep accounts. The transaction, which is subject to regulatory and other customary closing conditions, is expected to close in the fourth quarter 2009. The financial terms of the transaction were not disclosed.
