Item 5.02. Departures of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On August 18, 2009, the Board of Directors of TrustCo appointed Dennis De Gennaro as a new director. Mr. De Gennaro was also appointed to the audit, compensation and nominating and corporate governance committees of the board.

Mr. De Gennaro is the President and Chief Executive Officer of Camelot Associates Corporation, Schenectady, New York, a developer of residential housing and light commercial properties. TrustCo has hired Camelot Associates Corporation for various construction projects. The total amount of such contracts, including payments to subcontractors, was approximately $600 thousand for 2009.
