(b) On August 10, 2009, FARO Technologies, Inc. (the "Company") notified John E. Townsley, the Company's Senior Vice President of Human Resources, that his employment was terminated, effective immediately, in connection with a restructuring of Company management.

(e) In connection with Mr. Townsley's termination, the Company will make a lump sum severance payment to Mr. Townsley of $130,000, equal to six months of his base salary. The Company will also reimburse Mr. Townsley for the costs of his COBRA premiums for six months following his termination.
