On August 13, 2009, Developers Diversified Realty Corporation issued a press
release announcing that it commenced three separate tender offers to purchase
for cash portions of the aggregate principal amounts of its outstanding
(1) 5.00% Notes due 2010 and 4.625% Notes due 2010, (2) 5.25% Notes due 2011 and
5.375% Notes due 2012 and (3) 5.50% Notes due 2015 and 7.50% Notes due 2018. A
copy of the press release announcing the offers is filed hereto as Exhibit 99.1
and is incorporated herein by reference.
