Item 2.02 Results of Operations and Financial Condition.

On August 12, 2009, SWS Group, Inc. ("SWS") issued a press release regarding its anticipated results of operations for the fourth quarter ended June 26, 2009. The press release is attached hereto as Exhibit 99.1.
