Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Prior to the May 20, 2009 annual meeting of shareholders for Real Goods Solar, Inc. (the "Company"), Ted Nark advised the Company that he would not be available to serve as a member of the Company's Board of Directors beyond the expiration of his then-current term. Lynn Powers became a member of the Company's Board of Directors to fill this vacancy.

Ms. Powers-age 59-is the Chief Executive Officer, President and a Director of Gaiam, Inc. Ms. Powers has been President and a Director of Gaiam since February 1996 and Chief Executive Officer of Gaiam since March 2009. From February 1996 until September 2001, she was Gaiam's Chief Operating Officer, and from September 2001 until March 2009 she was Gaiam's Chief Executive Officer of North American operations. From 1992 to 1996, she was Chief Executive Officer of La Scelta, an importer of natural fiber clothing products. Before that, Ms. Powers was Senior Vice President Marketing/Strategic Development and Vice President Merchandising of Miller's Outpost, a specialty retailer.
