On August 4, 2009, AMCORE Bank, N.A. (the "Bank", a wholly-owned subsidiary of AMCORE Financial, Inc. (the "Company")) executed a Release Agreement (the "Agreement") with Richard E. Stiles. Mr. Stiles is a former Executive Vice President of the Bank whose position was eliminated as part of the corporate restructuring that occurred in April 2009. A copy of the Agreement is attached as Exhibit 10.1 and is hereby incorporated by reference. The payments that Mr. Stiles is entitled to receive under the Agreement are in accordance with the Company's nondiscriminatory severance plan applicable to all eligible employees of the Company and its subsidiaries. The Agreement provides for a severance payment of approximately $26,925.
