On August 5, 2009, Standard Motor Products, Inc. (the "Company") issued a press release announcing its financial results for the three months and six months ended June 30, 2009. A copy of such press release is furnished as Exhibit 99.1 hereto.
Such press release shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
Universal Shelf Registration Statement on Form S-3
On August 5, 2009, the Company issued a press release announcing its intent to file a universal shelf registration statement on Form S-3 with the SEC to register the offer and sale from time to time of up to an aggregate of $75 million of securities, which may consist of common stock, preferred stock, debt securities, warrants, depositary shares, stock purchase contracts or units consisting of any of the foregoing.
A copy of such press release is attached as Exhibit 99.2 hereto and incorporated herein by reference.
