On August 4, 2009, 3M Company ("3M") contributed 8,329,862 shares of its common stock with a corresponding dollar value of approximately $600 million to its defined benefit pension plan, the 3M Employee Retirement Income Plan (the "Plan"). The contribution was made from treasury stock. ERISA rules do not require a contribution at this time, however 3M voluntarily contributed the amount in order to improve the Plan's funded status. An independent fiduciary, State Street Bank and Trust Company, has been appointed to manage the securities on the Plan's behalf.

A related registration rights agreement between 3M and State Street Bank and Trust Company, on behalf of the Plan, dated as of August 4, 2009, is filed as Exhibit 99.1 to this Current Report on Form 8-K for incorporation by reference into 3M's Registration Statement on Form S-3 (No. 333-157374).
