Item 1.01 Entry into a Material Definitive Agreement.

On August 4, 2009, Keryx Biopharmaceuticals, Inc. ("Keryx" or the "Company") issued a press release announcing the Company's entry into a Settlement Agreement and General Release with Alfa Wasserman S.p.A. on July 30, 2009. A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated herein by reference.

Item 2.02 Results of Operations and Financial Condition.

On August 5, 2009, Keryx issued a press release announcing its results of operations for the second quarter ended June 30, 2009. Keryx also announced that on Thursday, August 6, 2009, at 8:30am EDT, Keryx will host an investor conference call during which Keryx will provide a brief financial overview of the second quarter 2009 financial results and a business outlook for the remainder of 2009.
