Item 2.02 Results of Operations and Financial Condition.

On August 5, 2009, Erie Indemnity Company (Company) issued a press release announcing financial results for the quarter ended June 30, 2009. A copy of the press release and financial information is attached hereto and is incorporated herein by reference as Exhibit 99.1 and Exhibit 99.2, respectively.

On August 6, 2009 at 10:00 a.m. the Company will hold a telephone conference call that will be webcast and that is complimentary to the press release announcing financial results for the quarter ended June 30, 2009.
