Entry into a Material Definitive Agreement


ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On August 5, 2009, Competitive Technologies, Inc. ("CTT") entered into a Termination Agreement terminating the stock purchase agreement between CTT and Fusion Capital Fund II, LLC entered into on July 22, 2008.
