ITEM 8.01 OTHER EVENTS
North American Galvanizing & Coatings, Inc. (the "Company") is proceeding with
the $10 million capital raise through a private placement of subordinated notes
and warrants to purchase unregistered shares of the Company's common stock, as
announced on June 25, 2009.
The subscription period for the offering was scheduled to end on August 4, 2009,
and the offering was scheduled to close on August 7, 2009. The Company is
extending the subscription period to August 18, 2009 and the scheduled closing
date to August 21, 2009.
