On July 31, 2009, Kenneth Saunders advised the board of directors ("Board") of Clark Holdings Inc. ("Company") that he was resigning as a member of the Board, effective on such date. The press release announcing Mr. Saunders' resignation is attached hereto as Exhibit 99.1.
