Pursuant to Article IV, Section 8 of the Registrant's bylaws, Henry E. Farmer,
Sr. was deemed to have tendered his resignation from the Registrant's Board of
Directors. This resignation was accepted by the Registrant and confirmed on
July 27, 2009. At the time of the resignation, Mr. Farmer did not serve on any
committees of the Registrant's Board of Directors.
