ITEM 1.01 - ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On July 28, 2009, Community Trust Bancorp, Inc. was notified by Fifth Third Bank of the extension of the expiration date of our $12 million line of credit from July 29, 2009 to October 29, 2009. Currently, all $12 million remain available for general corporate purposes. We believe that we will be able to obtain a one year renewal of a similar line of credit and expect to finalize such renewal in the near future.

On July 29, 2009, we received a written extension notice from Fifth Third Bank. The preceding discussion is qualified by reference to the extension notice, which is filed as an exhibit to the Current Report on Form 8-K and is incorporated herein.
