Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 23, 2009, C. Thomas Harvie, Senior Vice President, General Counsel and Secretary, advised The Goodyear Tire & Rubber Company (the "Company") that he was retiring from the Company effective October 31, 2009. Mr. Harvie, age 66, has served as the Company's General Counsel since July 1995.

David L. Bialosky, currently Executive Vice President, General Counsel and Secretary of TRW Automotive Holdings Corp., will succeed Mr. Harvie as Senior Vice President, General Counsel and Secretary in late September 2009.

A copy of Goodyear's press release announcing Mr. Harvie's retirement and Mr. Bialosky's appointment is attached hereto as Exhibit 99.1.
