On July 27, 2009, the Registrants issued a press release announcing the Registrants' financial results for the quarter ended June 30, 2009. As set forth below, the Registrants are filing the press release as Exhibit 99.1 to this Current Report on Form 8-K.
This Amendment No. 1 is being filed solely to reflect the election by the Registrants to cause the information set forth in this Item 2.02, as well as Exhibit 99.1 to the original Current Report on Form 8-K, to be deemed "filed" with the Securities and Exchange Commission for purposes of the Securities Exchange Act of 1934, as amended, including, without limitation, Section 18 thereof, and subject to the liabilities of such Act. This Form 8-K and the information included herein shall also be deemed to be incorporated by reference into all of the Registrants' filings under the Securities Act of 1933, as amended, into which such incorporation is permitted by the rules relating to such filing.
